This website is intended to provide information about our executive assistant services and to facilitate connections between clients and independent contractor assistants.

You agree to use this website only for lawful purposes and in accordance with these Terms. You may not use the website in any way that could damage, disable, or impair our services or interfere with any other party’s use.

2. Services Overview

Assist Virtual Partners provides executive assistant services through a network of independent contractors. Our services include facilitating introductions, supporting the matching process, and providing ongoing relationship support.

We may offer tools such as a “quick match” feature that allows users to view potential assistants and schedule interviews. Final hiring decisions are made solely by the client.

Assist facilitates and supports the working relationship but does not guarantee specific outcomes, results, or performance.

3. Independent Contractor Relationship

All assistants are independent contractors and are not employees, agents, or representatives of Assist Virtual Partners.

Clients acknowledge that:

  • Assist does not control the manner or means by which assistants perform their work
  • Assist is not responsible for day-to-day task execution
  • Assist is not liable for the actions or omissions of any assistant

4. Payment and Billing

Clients engage Assist Virtual Partners under a separate Client Agreement, which governs billing terms, service scope, and payment obligations.

In general:

  • Services are billed monthly based on selected hourly packages
  • A minimum monthly commitment applies
  • Payments are made directly to Assist Virtual Partners

Refunds, if any, are issued solely at our discretion.

5. User Responsibilities

You agree to:

  • Provide accurate and complete information when engaging our services
  • Communicate clearly with your assigned assistant
  • Provide the necessary tools, access, and information required to perform services

You are responsible for implementing reasonable security practices when sharing sensitive information, including the use of secure password-sharing tools and access controls.

6. Confidentiality and Data Security

Assist will take reasonable steps to maintain confidentiality of client information. However, you acknowledge that assistants may require access to sensitive business data in order to perform services.

Clients are responsible for:

  • Determining what information is shared
  • Implementing appropriate safeguards
  • Requesting additional protections, such as non-disclosure agreements, if desired

Assist Virtual Partners is not responsible for data breaches, losses, or unauthorized access resulting from client actions, third-party systems, or circumstances outside of our control.

7. Prohibited Conduct

You agree not to:

  • Use services for any unlawful, fraudulent, or unethical purpose
  • Harass, exploit, or misuse any assistant
  • Assign tasks that are unsafe, inappropriate, or outside the scope of professional services
  • Attempt to circumvent Assist Virtual Partners in order to directly engage assistants

We reserve the right to suspend or terminate services immediately if any misuse is identified.

8. Non-Solicitation and Non-Circumvention

Clients agree not to directly or indirectly solicit, hire, or engage any assistant introduced through Assist Virtual Partners outside of our platform or services without prior written consent.

Additional terms, including any applicable buyout provisions, are outlined in the Client Agreement.

9. Intellectual Property

All work product created by assistants in the course of providing services to a client shall be owned by the client.

However, Assist Virtual Partners retains ownership of its internal systems, processes, templates, and proprietary methodologies used in delivering services.

All website content, including text, graphics, logos, and design elements, is the property of Assist Virtual Partners and may not be used without prior written consent.

10. Disclaimer of Warranties

This website and all related services are provided on an “as is” and “as available” basis.

Assist Virtual Partners makes no warranties, express or implied, regarding:

  • The accuracy or reliability of information on this website
  • The availability or uninterrupted operation of services
  • The performance or outcomes of any assistant engagement

We expressly disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, Assist Virtual Partners shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, business opportunities, or data.

Our total liability, if any, shall not exceed the amount paid by the client for services within the preceding twelve (12) months.

12. Third-Party Links

This website may contain links to third-party websites. Assist Virtual Partners does not control or endorse these sites and is not responsible for their content, policies, or practices.

Use of third-party websites is at your own risk.

13. Modifications and Availability

We reserve the right to modify, suspend, or discontinue any aspect of this website or our services at any time without notice.

We do not guarantee continuous, secure, or error-free access to the website.

14. Termination

We reserve the right to terminate or restrict access to our website or services at our discretion, including for violations of these Terms.

Client service termination terms are governed separately by the Client Agreement, which typically requires thirty (30) days’ notice.

15. Dispute Resolution

Any dispute arising out of or related to these Terms or the use of this website shall be resolved through binding arbitration in the State of Georgia, in accordance with the rules of the American Arbitration Association.

Each party shall bear its own legal costs unless otherwise determined by the arbitrator. Arbitration decisions shall be final and enforceable in any court of competent jurisdiction.

16. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of the State of Georgia, without regard to conflict of law principles.

17. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with any referenced agreements, constitute the entire understanding between you and Assist Virtual Partners regarding use of this website.
